Terms that apply to quotes, orders and projects with PAL'S MACHINING INC.

These Terms apply where relevant to the specific quote, order or project. Not every order involves a deposit, milestone payment, customer-supplied material, shipping or any other condition described below. The terms of a particular quote, project agreement or order confirmation govern that work.

1. Scope and acceptance
These Terms of Service ("Terms") govern the use of this website and the quotes, orders and projects between PAL'S MACHINING INC. ("PAL'S", "we", "us") and its customers ("you"). By requesting a quote, placing an order or engaging us for a project, you agree to these Terms together with the terms of the applicable quote, order confirmation or project agreement. If there is a conflict, the written quote, order confirmation or project agreement controls for that work.
2. Services and products
Depending on the project, our services and products may include CNC machining, Swiss machining, custom-machined components, contract manufacturing, metal fabrication, welding, and hydraulic equipment and components. Only the services and products described in a written quote, order confirmation or project agreement are included in that engagement.
3. RFQs and estimates
Submitting a request for quote (RFQ) or manufacturing inquiry does not create an order or agreement. Estimates, quotes and pricing discussed before an order are based on the information you provide and are subject to our review. A quote is valid only on the terms and for the period, if any, stated in the quote itself. Pricing and terms may change if the information, drawings, specifications or quantities change.
4. Project agreements and product orders
A project or order is established when both parties have confirmed it in writing, such as by your acceptance of our written quote and our confirmation of the order or project agreement. Where a project agreement is used, it describes the scope of work, pricing and any special terms for that project.
5. Customer drawings and specifications
You are responsible for the accuracy and completeness of the drawings, specifications, CAD files and other technical documents you provide, and for confirming that your design is suitable for its intended use. We perform work based on the documents and instructions you supply. Please tell us promptly if you identify a discrepancy. We are not responsible for defects, delays or costs resulting from errors, omissions or ambiguities in customer-supplied information.
6. Customer intellectual property and technical documents
As between you and us, you retain ownership of your intellectual property and of the drawings, specifications, CAD files and technical documents you provide. You give us permission to use them only as needed to evaluate your inquiry, prepare quotes and perform the requested work. You represent that you have the right to provide these materials and that our use of them for your project will not knowingly infringe the rights of others. We will handle customer technical documents in line with our Privacy Policy and any separate written confidentiality terms we agree to.
7. Materials
Where a project involves materials, the quote or project agreement will identify who supplies them and any related requirements. Where you supply materials, you are responsible for their quality, quantity and suitability. Material availability and pricing may affect cost and schedule.
8. Pricing, invoicing and payment
Work is generally billed by invoice. Pricing, payment terms and due dates are stated in the applicable quote, order confirmation or invoice. Deposits or milestone payments apply only where the quote or project agreement for the specific project calls for them — they are not required for every order. Amounts not paid when due may be subject to such remedies as the applicable quote or agreement provides, including pausing work, to the extent permitted by law.
9. Customer-requested changes
If you request a change to drawings, specifications, quantities, materials or scope after a quote or order is confirmed, we will review it and may adjust pricing, schedule or other terms. A change takes effect only once confirmed in writing by both parties.
10. Production scheduling
Schedules and lead times we provide are good-faith estimates unless we expressly commit to a firm date in writing. Timing depends on factors such as receipt of complete drawings and specifications, approvals, material availability and the scope of the work, and may change if those factors change.
11. Cancellations
Cancellation terms are those in the applicable quote or project agreement. Where work has begun, materials have been purchased or custom items have been produced, you may be responsible for the costs reasonably incurred up to the time of cancellation. Please contact us promptly if you need to cancel or pause an order.
12. Inspection and acceptance
You are responsible for inspecting completed work and products promptly upon receipt or pickup and for notifying us in writing of any claimed nonconformance with the agreed requirements, within the period stated in the applicable quote or project agreement or, if none is stated, within a reasonable time. Work not reported as nonconforming within that period is deemed accepted, except for defects that could not reasonably have been discovered by inspection.
13. Shipping and delivery
Where shipping or delivery applies, the method, charges, responsibility for shipping and risk of loss are as stated in the applicable quote or order confirmation, or as otherwise agreed in writing. Some orders may be picked up by the customer. Delivery dates are estimates unless committed to in writing.
14. Hydraulic equipment and components
Hydraulic systems involve pressurized fluid and can be hazardous if designed, installed, operated or maintained improperly. You are responsible for determining whether a hydraulic product or component is suitable for your application and system, for the design and safe operation of the system in which it is used, and for following any ratings, instructions or limitations we provide in writing. We do not state specifications, ratings or compatibility for any product on this website; any such information applies only where provided in writing for your specific product or order.
15. Warranties
We provide a warranty only where one is expressly stated in a written quote, order confirmation, project agreement or other document issued by PAL'S, and then only on the terms and for the period stated there. Except as so expressly provided, and to the maximum extent permitted by law, we make no warranties, express or implied, including any implied warranties of merchantability or fitness for a particular purpose.
16. Limitation of liability
To the maximum extent permitted by law, PAL'S will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, loss of use or downtime, arising out of or relating to our website, quotes, products or services. To the maximum extent permitted by law, our total liability for any claim relating to a particular order or project is limited to the amount you paid us for that order or project. Nothing in these Terms limits liability that cannot be limited under applicable law.
17. Website use
The content of this website is provided for general information about PAL'S and its capabilities and is not an offer to sell. Illustrations on this website are representative and do not depict specific PAL'S products, facilities or customer projects. You agree not to misuse the website or its forms, including by submitting unlawful, harmful or deceptive content.
18. Governing law
These Terms, and any dispute arising out of or relating to them or to our quotes, orders or projects, are governed by the laws of the State of Minnesota, without regard to its conflict-of-law rules. Unless otherwise agreed in writing, any legal action will be brought in the state or federal courts located in Minnesota.
19. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page shows the latest revision. A quote, order or project is governed by the Terms in effect when it was confirmed unless the parties agree otherwise in writing.
